LONG & MCQUADE CONTEST RULES

The following are the rules (“Rules”) for the Long & McQuade contest (the “Contest”) being sponsored and administered by Long & McQuade (head office: 722 Rosebank Rd, Pickering, ON, L1W 4B2) in celebration of the release of Disney-Pixar’s Soul (the “Picture”). Please read these Rules carefully, as there will be two (2) drawings, for the selection of winners, as set forth in Section 5 below.

1. ELIGIBILITY

To be eligible for the Contest, entrants must be legal residents of Canada, be of the age of majority or older at the time of entry in their province or territory of residence and a new Disney+ subscriber (cannot have an existing Disney+ subscription). Employees of Long & McQuade and Walt Disney Studios Motion Pictures Canada (“Disney”) and their affiliates, subsidiaries, related companies, advertising and promotional agencies, prize suppliers and family members (including spouse and parents, children and siblings and their spouses) or the household members (whether or not related) of any of the above, are not eligible to participate in the Contest. Void where prohibited.

2. Contest PERIOD

The Contest shall run from November 1, 2020 to December 31, 2020 (the “Contest Period”) after which time no further entries will be considered.

3. HOW TO ENTER

NO PURCHASE NECESSARY. To enter, entrants must email their full name, and name of the city in which they reside, to [email protected]. Limit of one (1) entry per person during the Contest Period.

4. PRIZE(S)

Three (3) prizes: Each prize shall consist of a one (1) year subscription to the Disney+ streaming service (Approximate retail value (“ARV”): $89.99CAD) (each a “Prize” and collectively referred to herein as the “Prizes”). FOR RESIDENTS OF QUEBEC: Only one (1) Prize is available to be won.

Winners will receive a link via email redeemable for a one (1) year subscription to the Disney+ streaming service.  You must have a Disney+ account in order to redeem the subscription – visit www.disneyplus.com to sign up for a Disney+ account.  You must provide a valid credit card to redeem the subscription.  Multiple redemptions for this subscription are not permitted.  Subscription is available only to new subscribers of the Disney+ streaming service.  This subscription cannot be redeemed by existing Disney+ subscribers. Users who previously paid for a Disney+ subscription, but still have time left on the subscription period they paid for will be considered “active” subscribers and won’t be able to redeem the awarded subscription until their current subscription runs out. By redeeming the subscription, you will be enrolled in the auto-renewing monthly subscription of Disney+, and your credit card provided upon redemption will be charged $8.99CAD per month by Disney+ after your one (1) year subscription has ended unless you cancel your membership before your one (1) year subscription expires by going to the “billing details” section on the account page.  Disney+ subscription may be cancelled at any time – subject to terms and conditions; no refunds or credits for partial month.  Not for resale; void if sold or exchanged.  Redemption of this subscription is subject to these Rules.  Use of Disney+ service is subject to Disney+ Subscriber Agreement available at www.disneyplus.com/legal/subscriber-agreement.  Subscription may not be sold separately or otherwise transferred.

Total ARV of all prizes being awarded: $269.97CAD. Winners are not entitled to monetary difference between actual Prize value and stated approximate Prize value, if any. Winners will be responsible for all taxes and any expense not explicitly included in the Prize. Long & McQuade reserves the right, in its sole discretion, to substitute a prize of equal or greater value if a Prize or any part thereof cannot be awarded for any reason. The Prize(s) are not transferable and not redeemable for cash, will not be extended under any circumstances and must be accepted as offered without substitution. Long & McQuade shall not assume any liability for a lost, damaged or misdirected Prize.

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

5. SELECTION OF WINNER(S)

Upon completion of the Contest Period, two (2) entrants will be selected by a random draw from all eligible entries received excluding those from Quebec. One (1) entrant will be selected separately by a random draw including all eligible entries received from Quebec. Each selected entrant will be notified by e-mail by January 31, 2021. The selected entrants must respond to the notification within twenty four (24) hours. If a selected entrant does not respond in the allotted time, he/she will be disqualified and will not receive a Prize and another entrant may be randomly selected from the pool of eligible entries in Long & McQuade sole discretion. Long & McQuade shall be in no way responsible for the failure, for any reason whatsoever, of a selected entrant to receive notification or for Long & McQuade’s failure to receive a selected entrant’s response. The odds of being selected as a potential winner are dependent upon the number of eligible entries received by Long & McQuade during the Contest Period. Before being declared a winner, the selected entrant(s) will be required to: (i) correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited, mathematical skill-testing question to be administered during a pre-arranged telephone call or by e-mail; (ii) comply with the Rules; and (iii) may be required to sign and return the Release (described below).

6. RELEASE

The winner(s) may be required to execute a winner release form (“Release”), as determined by Long & McQuade in its sole discretion, that confirms winner’s: (i) eligibility for the Contest; (ii) acceptance of the Prize as offered; (iii) release of Long & McQuade, Disney, and their respective parent companies, subsidiaries, affiliates and/or related companies and each of their employees, directors, officers, suppliers, agents, sponsors, administrators, licensees, representatives, advertising, media buying and promotional agencies and prize suppliers (collectively, the “Releasees”) from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Contest or the acceptance, use, or misuse of the Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; and (iv) grants to Long & McQuade the unrestricted right, in Long & McQuade sole discretion, to produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, distribute, adapt and otherwise use or re-use the winner’s name, image, likeness, voice and biography, in any and all media now known or hereafter devised, in connection with the Contest and the promotion and exploitation thereof. The executed Release must be returned within two (2) business days of the date indicated on the accompanying letter of notification or the verification as a winner or the selected entrant will be disqualified and the Prize forfeited.

7. GENERAL

By participating in the Contest, each entrant:

(i)Agrees to abide by these Rules and the decisions of Long & McQuade which shall be final and binding in all respects. Entrants who have not complied with these Rules are subject to disqualification;

(ii)Releases and holds harmless the Releasees from any and all liability for any injuries, loss or damage of any kind to the entrant or any other person, including personal injury, death, or property damage, resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any Prize, participation in the Contest, any breach of the Rules, or any Prize-related activity;

(iii)Agrees to fully indemnify Releasees from any and all claims by third parties relating to the entrant’s participation in the Contest, without limitation; and

(iv)If selected as a winner, agrees that his/her name may be used in any and all forms of media, without any further compensation by Long & McQuade and waives all rights (including moral rights) with respect to printed, broadcast and other forms of publicity.

Long & McQuade reserves the right, in its sole discretion, to terminate the Contest, in whole or part, and/or modify, amend or suspend the Contest, and/or these Rules in any way, at any time, for any reason without prior notice.

Personal information collected during the course of the Contest shall be i) used by Long & McQuade and its authorized representatives solely for the purposes of conducting the Contest, ii) collected pursuant to Long & McQuade’s Privacy Policy located here: https://www.long-mcquade.com/content/7/ ; and iii) used to award Prize(s) and will not be used or disclosed for any other purpose unless required by law. Long & McQuade will use the entrant’s personal information only for identified purposes, and protect the entrant’s personal information.

The Contest is subject to all applicable laws of the province of Ontario and the laws of Canada applicable therein; provided that any and all disputes, claims and causes of action arising out of or connected with Disney, including without limitation, the intellectual property of Disney, shall be resolved individually, without resort to any form of class action, shall be governed and construed in accordance with the laws of the Province of Ontario, without giving effect to any choice of law or conflict of law rules which would cause the application of the laws of any jurisdiction other than the Province of Ontario in the event of any dispute and all entrants irrevocably consent to the jurisdiction of the Province of Ontario to resolve such disputes.

For Quebec residents only, any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.
